Terms of Use

SoundNote Terms of Service

Effective date: September 29, 2026 Last updated: September 29, 2026

These Terms of Service ("Terms") form a legal agreement between you and the developer of "SoundNote" (the "App") regarding your use of the App. Please read these Terms in full before downloading, installing, or using the App, paying particular attention to the bolded risk warnings and limitations of liability.

By downloading, installing, launching, or otherwise using the App, you confirm that you have read, understood, and accepted these Terms. If you do not agree, please stop using the App and uninstall it immediately.

1. Definitions

1.1 "App" means the SoundNote iOS application published by the developer and its accompanying components, including the main app, home screen widgets, the Lock Screen Live Activity, the Apple Watch app, and watch-face complications.

1.2 "Developer", "we", "us" means the publisher of the App, an individual developer.

1.3 "You", "user" means an individual who lawfully downloads, installs, and uses the App.

1.4 "Content" means all data you create, enter, or import in the App, including tasks, lists, calendar entries, text notes, voice notes, audio recordings, focus records, and settings.

2. The service

2.1 The App is a purely local productivity tool. Its main features include:

2.2 No account is required for the core features, and no account system is offered. All of your content is stored on your device — see the Privacy Policy for details.

2.3 We may update, adjust, add, or remove features from time to time. For changes that materially reduce functionality you have paid for, we will give advance notice in the App or in the release notes.

3. Licence and restrictions

3.1 Subject to your compliance with these Terms and your lawful acquisition of the App (including any paid unlock), we grant you a personal, non-exclusive, non-transferable, non-sublicensable limited licence to use the App solely on Apple devices that you own or control.

3.2 You must not:

  1. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App (except where such restriction is prohibited by law);
  2. Copy, rent, lend, sell, sublicense, or distribute the App or any part of it;
  3. Remove or alter any copyright, trademark, or other proprietary notices in the App;
  4. Use the App to violate any law, infringe the rights of others, or endanger network security;
  5. Use automation scripts, cheats, or unofficial modified builds to access or interfere with the App;
  6. Use the App in any context requiring statutory qualifications or licences (including, without limitation, medical diagnosis, financial services, gambling, or hazardous-operation alerting).

3.3 The App is distributed through the Apple App Store. Apple's Media Services Terms and Conditions and App Store rules also apply. If these Terms conflict with Apple's mandatory rules, the interpretation more favourable to the user, or Apple's mandatory requirement, prevails.

4. Purchase, pricing, and refunds

4.1 The App uses a one-time purchase (non-consumable in-app purchase) to unlock full functionality. It is not a subscription: there is no auto-renewal, no recurring charge, and nothing for you to cancel.

4.2 All payments and transactions are handled by Apple through the App Store. We never handle your payment information. The price is the localized price shown on the App Store product page, which may vary by region, taxes, and exchange rates.

4.3 Restore Purchases: use the "Restore Purchases" option on the in-app purchase page to re-verify and restore your entitlement after changing devices or reinstalling.

4.4 Refunds: refund requests are handled by Apple under Apple's refund policy (typically via Apple's "Report a Problem" page). As the developer, we cannot issue refunds directly, but we are glad to help you resolve issues through the proper channels.

4.5 If the product is temporarily unavailable due to configuration, network, or Apple service issues, the App will say so honestly; no charge will be generated in that case.

5. Your content and your responsibilities

5.1 Your content belongs to you. You retain all rights to the content you create in the App. We claim no intellectual property rights over it.

5.2 You are responsible for your content. You must ensure your content complies with the law and does not infringe the rights of others. Because the App is a purely local tool with no public distribution capability, we do not moderate content and have no ability to access it.

5.3 You are responsible for backups. The App provides backup export and restore, but whether and where you back up is your decision. We strongly recommend exporting a backup before:

5.4 Do not rely on the App as your only record. For anything important, keep a copy in another tool or on paper.

6. Important risk warnings (please read carefully)

6.1 Reminder features depend on the operating system and may be delayed or may not fire. Due-time reminders, alarms, widgets, and the Lock Screen Live Activity all depend on iOS scheduling. In the following circumstances a reminder may be delayed, silenced, grouped, or never delivered: the device is powered off or restarting; the battery is depleted or Low Power Mode is on; Focus / Do Not Disturb / Sleep modes are enabled; notification permission is off or restricted; system resources are constrained; an OS update or OS defect occurs; or the user clears background apps. Do not use the App for reminders where a missed alert could cause personal harm, significant financial loss, medication errors, or missed travel — or, if you do, always use additional, more reliable reminder methods.

6.2 Data may be lost due to device-related causes. Your content is stored locally and encrypted with a key held in the device Keychain. Encrypted content may become unrecoverable if: the device is damaged, lost, or will not start; the device Keychain is erased (for example, "Erase All Content and Settings"); a device migration backup does not include the corresponding key; or a system restore leaves the key and data mismatched. We cannot recover any data for you, because we hold neither your data nor your key.

6.3 A lost backup passphrase cannot be recovered. The passphrase for your backup files is known only to you and is not escrowed by us. If you lose the passphrase, that backup file can never be decrypted.

6.4 Uninstalling and clearing data is irreversible. Uninstalling the App, clearing its data in system settings, or emptying content in the App permanently deletes the corresponding data with no undo.

6.5 Speech recognition depends on the device. Dictation is performed by the system speech engine; to produce a transcript, your audio may be processed by Apple's speech recognition service (handled by Apple under Apple's privacy policy). The App itself runs no server and neither receives nor stores your audio or transcripts. Accuracy varies with ambient noise, accent, language, and system capability, and is not guaranteed — please review the transcription before saving.

6.6 Task splitting is produced by an on-device model. On devices running iOS 26 or later, the App can use the system's on-device model to split one sentence into several tasks. Results are machine-generated and may be inaccurate; please confirm before relying on them.

7. Intellectual property

7.1 The App's software, interface design, icons, copy, graphics, and code are owned by the developer or the respective rights holders and are protected by law.

7.2 Open-source components used by the App are licensed under their respective licences, and we comply with their requirements. You may request a list of components using the contact details in section 11.

7.3 Without written permission, you may not use our name, marks, or icons for any commercial purpose, or imply any partnership, agency, or endorsement.

8. Disclaimer and limitation of liability

8.1 The App is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties, express or implied, including merchantability, fitness for a particular purpose, uninterrupted or error-free operation, or freedom from data loss.

8.2 To the maximum extent permitted by law, we are not liable for: data loss or service interruption caused by device failure, OS defects or updates, user error, third-party software conflicts, or force majeure; missed or delayed reminders or resulting losses arising from the risks described in section 6; or losses resulting from your failure to keep your own backups.

8.3 Where liability cannot be excluded, our aggregate liability is limited to the amount you actually paid for the in-app purchase.

8.4 Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited (for example, for personal injury caused by our intentional misconduct or gross negligence).

9. Changes, suspension, and termination

9.1 We may update, adjust, or discontinue parts of the service for business or compliance reasons. If we discontinue the service entirely, we will give reasonable advance notice in the App.

9.2 Because the App runs locally, even if we discontinue the service or remove the App from the store, an installed copy will continue to work for its core features (excluding parts that require Apple services, such as purchase restore verification).

9.3 You may terminate these Terms at any time by uninstalling the App. On termination, sections 5.3, 6, 7, 8, 10, and any other provisions that by their nature should survive, will survive.

10. Governing law and dispute resolution

10.1 These Terms are governed by the laws of the People's Republic of China.

10.2 Disputes arising from these Terms should first be resolved through friendly negotiation. Failing that, either party may bring proceedings before the competent court at the developer's place of residence.

10.3 If you are located outside the People's Republic of China, this section does not affect consumer rights you enjoy under the mandatory laws of your local jurisdiction.

11. Contact

We will respond within 15 business days.

12. Changes to these Terms

12.1 We may update these Terms due to feature changes or legal requirements. Updates will be published in the App or on this page, with the "Last updated" date revised.

12.2 If an update affects your material rights or obligations, we will highlight it. Continuing to use the App after an update takes effect constitutes acceptance. If you do not agree, please stop using the App and uninstall it.

13. Miscellaneous

13.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.

13.2 These Terms and the Privacy Policy together constitute the entire agreement between you and us regarding the App.

13.3 Section headings are for convenience only and do not affect interpretation.
